Terms of Service

1. Parties, Definitions & Scope

1.1 Parties

These Terms of Service govern the relationship between:

  • The CPD Board™ ("we", "us", "our") — an accreditation body registered in the Isle of Man (ICO Registration R853647).

  • You ("Accredited Party", "provider", "applicant") — an individual trainer, organisation, not-for-profit entity, or programme organiser applying for or holding accreditation.

1.2 Definitions

Accreditation: The formal recognition that a Programme or Provider meets The CPD Board's Assessment Criteria and Code of Conduct, valid for the stated term.

Accredited Party: An individual or organisation holding current, active accreditation from The CPD Board.

Code of Conduct: The Accredited Party Code of Conduct published at cpdboard.org/accredited-party-code-of-conduct, which all Accredited Parties must comply with.

Programme: A course, workshop, webinar, e-learning module, or event accredited by The CPD Board under these Terms.

Portal: The online application and management system at cpdboard.org, through which all accreditation submissions, renewals, and communications are conducted.

Digital Badge: A verifiable digital seal issued by The CPD Board and linked to public verification records showing accreditation status, scope, and expiry date.

1.3 Scope

These Terms apply to all Accredited Parties across all four accreditation categories:

  • Professional (individual trainer)

  • Business (organisational provider)

  • Not-For-Profit (NGO or charitable provider)

  • Per Programme (single event or course)

By submitting an application or accepting accreditation, you agree to comply with these Terms, the Assessment Criteria, and the Code of Conduct in full.

2. Accreditation Scope & Validity

2.1 Accreditation Term

Standard accreditation validity is three years from the date of issue, except for Per Programme accreditation, which may be subject to shorter validity periods as specified at application.

2.2 Verification & Public Records

All accreditation grants a unique certificate code, digital badge, and entry in The CPD Board's public verification register at cpdboard.org/verify. Learners, employers, and regulators may verify your accreditation status at any time.

2.3 Non-Exclusive Grant

Accreditation is a non-exclusive, non-transferable, revocable licence to use The CPD Board name, badge, and logo during the accreditation period only. Accreditation does not grant exclusive rights to subject matter or course delivery methods.

3. Fees & Payment

3.1 Fee Structure

Fees are subject to change with 30 days' notice. Current fees are published at cpdboard.org/pricing.

3.2 Payment Terms

  • Initial accreditation payment is due upon approval. The CPD Board issues a secure payment link via the Portal.

  • Renewal fees are due at the start of the renewal term. Automatic renewal occurs on the anniversary date unless you notify us otherwise.

  • Payments are accepted via credit card, bank transfer, and Payoneer.

  • All fees are payable upfront. No partial or instalment payments are available.

3.3 Automatic Renewal

Your accreditation renews automatically on each anniversary date. We may reach out 30 days prior to renew to gather updated information if we consider it necessary. You may cancel auto-renewal by notifying us in writing at least 15 days before the renewal date.

3.4 Non-Payment & Suspension

If payment is not received within 30 days of the invoice date, your accreditation status automatically suspends. Accreditation status cannot be reinstated until payment is received in full.

3.5 No Refunds

Fees are non-refundable. If your accreditation is revoked mid-term due to breach of the Code of Conduct, no refund is issued. If payment fails due to a system error or our administrative mistake, we will work with you to resolve it.

4. Service Levels & Support

4.1 Included Support

Your accreditation includes the following at no additional cost:

  • Portal access: Full access to the application, renewal, audit, and communication tools.

  • Email support: Up to 4 support tickets per month via mail@cpdboard.com.

  • Blog & templates: Access to The CPD Board's resource library, including SMART objective templates, assessment rubrics, and accessibility checklists.

  • Response time: We aim to respond to support requests within 24 hours on working days.

4.2 Out-of-Scope Support

Custom training, course design consultation, and advanced learning design services are not included in standard support. These are available at additional cost and quoted separately based on scope.

4.3 Support Ticket Limits

If you exceed 4 support tickets per month, we may charge for additional support at rates to be confirmed in advance. Routine Portal issues, payment queries, and renewal administrative matters count as single tickets.

5. Renewal, Suspension & Termination

5.1 Renewal Cycle

  • Renewal notice: We contact you 30 days before expiry to initiate renewal.

  • Renewal submission: Submit a renewal dossier at least 90 days before accreditation expiry if you wish to renew.

  • Renewal assessment: Renewal applications follow the same assessment process as initial applications (typically 3 business days).

  • Renewal timeline: Renewed accreditation becomes effective on or before the expiry date of the previous certificate.

5.2 Grace Period

If renewal payment is not received by the accreditation expiry date, you have a 30-day grace period to renew. During this period, your accreditation status is "Expired" on the public verification register. You may not claim current accreditation or use The CPD Board logo on new materials. If renewal is completed within the grace period, accreditation is reinstated retroactively.

5.3 Automatic Suspension

Your accreditation automatically suspends if:

  • Payment fails and is not received within 30 days of the invoice date.

  • You fail to respond to a spot-check request within 10 business days.

  • You fail to submit an annual self-audit report within 30 days of the submission deadline.

Suspension is lifted upon remediation (e.g., payment received, spot-check completed, audit submitted).

5.4 Termination by You

You may terminate your accreditation at any time by providing written notice to mail@cpdboard.com. Termination takes effect 15 days from the date we receive your notice. You must immediately cease using The CPD Board logo and badge on all new materials. No refund of fees is issued.

5.5 Termination by The CPD Board

The CPD Board may terminate your accreditation immediately if:

  • You breach the Code of Conduct materially or repeatedly.

  • You misrepresent accreditation status or fraudulently use The CPD Board mark.

  • You fail to comply with these Terms.

The CPD Board may terminate for convenience with 15 days' written notice. Termination is effective immediately if justified by serious breach.

6. Intellectual Property & Usage Rights

6.1 Digital Badge & Certificate Ownership

The CPD Board retains full ownership of the digital badge design, certificate template, and all associated metadata (including the certificate code and verification link). You receive a limited, non-exclusive, non-transferable licence to display the badge and certificate during the accreditation period only.

6.2 Logo Usage Rights

You may use The CPD Board accreditation logo on:

  • Course materials, certificates, and participant handouts.

  • Your website and digital presence (website footer, sustainability page, or accreditation section).

  • Marketing materials, brochures, and proposals.

  • Email signatures.

  • Social media and press releases announcing accreditation.

Logo use must comply with the guidelines published at cpdboard.org/logo-usage. You must not alter, distort, or misrepresent the logo in any way.

6.3 Badge Usage Post-Cancellation

Upon accreditation expiry, suspension, or termination, you have 30 days to remove The CPD Board badge from all active materials. You may retain historical badges and certificates as proof of former accreditation (e.g., on archived course pages or past project portfolios) but cannot use them on new materials or current marketing. After 30 days, all use of the badge must cease.

6.4 Prohibited Uses

You must not:

  • Use The CPD Board badge or logo after accreditation expires or is revoked.

  • Imply that The CPD Board endorses specific products, services, or business practices beyond confirming accreditation status.

  • Use the badge or logo in a way that misrepresents accreditation scope (e.g., claiming product-level certification when only organisational certification was awarded).

  • License, sublicense, or permit third parties to use the badge on your behalf without prior written consent.

6.5 Verification Links

We encourage you to link the badge or include the verification URL (cpdboard.org/verify + your certificate code) in all digital and printed materials. This enables stakeholders to confirm your accreditation status independently and deters fraud.

7. Data Protection & Records

7.1 Your Learner Data

You own all personal data you collect from learners during your accredited training. The CPD Board has no responsibility for managing, storing, or protecting learner data you collect. You are solely responsible for complying with GDPR and all applicable data protection laws when handling learner information.

7.2 Accreditation Application Data

We retain your accreditation application, assessment notes, audit reports, and accreditation certificate for a minimum of 5 years post-cancellation, in accordance with Isle of Man data protection regulations. This is the maximum retention period under Isle of Man law.

7.3 Data Subject Rights

You may request access to, correction of, or deletion of personal data we hold about you. Send requests to mail@cpdboard.com. We will respond within 30 days (or the maximum timeframe permitted under Isle of Man law). You may also request a portable copy of your accreditation records.

7.4 Portal Access & Usage Logs

We may log your Portal access, submissions, and communications for security, compliance, and audit purposes. Logs are retained for up to 5 years.

8. Confidentiality & IP Protection

8.1 CPD Board Proprietary Materials

Any templates, guidelines, internal documentation, or resources provided by The CPD Board remain our exclusive intellectual property. You may not share, distribute, or repurpose these materials without prior written consent.

8.2 Non-Disclosure Obligations

You agree to keep confidential all non-public information shared by The CPD Board, including assessment feedback, internal communications, and future product plans. This obligation survives accreditation termination.

8.3 Your Programme IP

You retain full ownership of your course materials, lesson plans, assessments, and all intellectual property related to your Programmes. The CPD Board does not claim ownership of your content.

9. Limitation of Liability

9.1 Service Availability

The CPD Board's Portal and services are provided on an "as-is" basis. We make reasonable efforts to maintain uptime and security, but we do not guarantee uninterrupted access or freedom from errors.

9.2 Exclusion of Liability

To the maximum extent permitted by Isle of Man law, The CPD Board is not liable for:

  • Indirect, incidental, or consequential damages (including lost revenue or reputational harm).

  • Loss of accreditation due to your breach of the Code of Conduct.

  • Learner dissatisfaction or poor course outcomes.

  • Third-party claims arising from your Programme content or delivery.

9.3 Maximum Liability

Our total liability to you under these Terms is limited to fees paid in the 12 months preceding the claim.

10. Dispute Resolution & Arbitration

10.1 Escalation Path

If you have a billing or accreditation dispute, contact mail@cpdboard.com with details. We will acknowledge receipt within 3 business days and aim to resolve within 15 business days. If unresolved, either party may initiate arbitration.

10.2 Arbitration Agreement

You and The CPD Board agree to submit all disputes (whether contractual, statutory, or otherwise) to binding arbitration under the Arbitration Act 1976 (Isle of Man). Arbitration is conducted in English in the Isle of Man.

10.3 Arbitration Procedures

  • Arbitration is conducted by a single independent arbitrator selected by mutual agreement or, if parties cannot agree, appointed by the Isle of Man courts.

  • Each party bears its own legal costs, unless the arbitrator awards costs otherwise.

  • The arbitration award is final and binding and may be enforced in any court of competent jurisdiction.

10.4 Exclusions from Arbitration

Notwithstanding the arbitration clause, either party may seek urgent injunctive relief or specific performance in the Isle of Man courts if necessary to prevent irreparable harm (e.g., misuse of The CPD Board trademark).

10.5 New York Convention

The Isle of Man enforces arbitral awards under the New York Convention on the Recognition and Enforcement of Foreign Arbitral Awards, providing international recourse if needed.

11. Amendment & Termination

11.1 Amendment of These Terms

The CPD Board may amend these Terms at any time. Material changes are effective 30 days after publication on cpdboard.org/terms-of-service. Your continued use of accreditation constitutes acceptance of amended Terms.

11.2 Notification of Changes

We will notify you of material changes by email to the address on file. Substantial changes affecting accreditation rights will be provided in writing at least 30 days in advance.

11.3 Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions continue in full force.

11.4 Governing Law

These Terms are governed by the laws of the Isle of Man, without regard to conflicts of law principles. Disputes are resolved exclusively by arbitration under Section 10.
